Terms of Service

Carlyle (carlyle.vin) is operated by Horizons Fleet Management, LLC(“Carlyle,” “we,” “us”), the money layer for rental car fleets. These terms govern your use of the service. By creating an account or using Carlyle you agree to them. If you don't agree, don't use Carlyle.
Please note: Section 9 contains a binding individual-arbitration agreement and a class-action waiver that affect how disputes between you and Carlyle are resolved. You may opt out of arbitration within 30 days of accepting these terms.
1. What Carlyle is (and isn't)
Carlyle helps rental-fleet operators and car buyers evaluate vehicles and run their fleets: ROI reports and out-the-door estimates, an AI consultant, maintenance tracking, market-rate data, and an inbox that reads the notification emails your rental platform already sends you, flags the ones that need you, and drafts replies you send yourself. Carlyle is an information and assistance service. It is read-only toward rental platforms: it never posts, replies, or acts on your platform account. We are not a dealer, broker, lender, or financial advisor; we never take possession of vehicles or handle vehicle purchase funds. Every purchase decision and transaction is between you and the seller, and every guest reply is sent by you.
2. Accuracy
Market data comes from third-party sources and changes without notice - a car can sell, be repriced, or be listed in error at any time. ROI projections, value estimates, and out-the-door totals are model-based estimates, not quotes. Verify price, condition, history, fees, and availability with the dealer before you buy. Carlyle is provided “as is” without warranties of any kind.
3. Accounts & eligibility
You must be at least 18 years old and able to form a binding contract to use Carlyle. You need an account (email sign-in) to use the product. Keep your sign-in link private; you're responsible for activity on your account. One account per person. We may suspend accounts that abuse the service, attempt to scrape it, resell access, or use it unlawfully.
4. Pricing and billing
Current pricing is on the pricing page (fleet plans) and the consumer plans page. Payments are processed by Stripe. Subscriptions renew automatically - weekly, monthly, or yearly depending on the plan and term you choose - until cancelled; cancelling stops the next renewal and your plan stays active through the paid period. The full charge and the renewal frequency are shown before you pay and confirmed by email. Introductory prices (for example a reduced first week) revert to the plan's regular price on the date shown before purchase. Promotional and member prices remain in effect for as long as the subscription stays continuously active; cancellation ends the subscription and that price with it, and any later subscription is at the prices then published. You can cancel online from your account at any time. The detailed billing and refund policy on the billing & refunds page is part of these terms.
5. Connected email
If you connect an email inbox, you grant Carlyle read-only access to it for the purpose of processing rental-platform notifications. We never send, delete, or modify your email. Reply drafts are suggestions; you review and send them yourself. You can disconnect at any time from your account or your email provider's security settings, and disconnecting stops all reading immediately.
6. Acceptable use
Don't scrape or bulk-export listings, probe or overload the service, use it to harass dealers or individuals, or misrepresent who you are. The AI consultant is for your personal car purchase, not for commercial resale research at scale.
7. Liability
To the maximum extent the law allows, Carlyle's total liability for any claim related to the service is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect or consequential damages, or for the acts of dealers, sellers, or other third parties.
8. Governing law and venue
These terms, and any dispute arising out of or relating to them or your use of Carlyle, are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration agreement below, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in California, and you and Carlyle each consent to the personal jurisdiction of those courts.
9. Dispute resolution: arbitration and class-action waiver
Please read this section carefully. It affects how disputes are resolved and limits the ways you can seek relief.
Informal resolution first. Before starting an arbitration, you agree to email us at hello@carlyle.vin describing the dispute and to give us 30 days to try to resolve it informally.
Binding individual arbitration. If we cannot resolve it, you and Carlyle agree that any dispute, claim, or controversy arising out of or relating to these terms or the service will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court - except that either party may instead bring a qualifying individual claim in small-claims court.
Class-action waiver. You and Carlyle agree to bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.
30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these terms by emailing hello@carlyle.vin from your account email with a statement that you opt out of arbitration. Opting out does not affect any other part of these terms.
Exceptions and severability. Nothing here prevents either party from seeking injunctive or equitable relief in court for intellectual-property infringement or unauthorized access to the service. If the class-action waiver is held unenforceable, that portion will be severed and the remainder of this section will continue to apply.
10. Changes
We may update these terms as the product evolves; material changes will be flagged on this page with a new date. Continuing to use Carlyle after a change means you accept it.
