Terms of Service

Carlyle (carlyle.vin) is operated by Horizons Fleet Management, LLC(“Carlyle,” “we,” “us”), an AI-assisted car-buying concierge. These terms govern your use of the service. By creating an account or using Carlyle you agree to them. If you don't agree, don't use Carlyle.
Please note: Section 9 contains a binding individual-arbitration agreement and a class-action waiver that affect how disputes between you and Carlyle are resolved. You may opt out of arbitration within 30 days of accepting these terms.
1. What Carlyle is (and isn't)
Carlyle helps you find, evaluate, and negotiate for used vehicles: an AI consultant, listings drawn from third-party dealer inventory, statistical value ratings and out-the-door estimates, optional human negotiation help, and inventory alerts. Carlyle is an information and assistance service. We are not a dealer, broker, lender, or financial advisor; we never take possession of vehicles or handle vehicle purchase funds. Every purchase decision and transaction is between you and the seller.
2. Accuracy
Listings come from third-party sources and change without notice - a car can sell, be repriced, or be listed in error at any time. Value ratings and out-the-door totals are model-based estimates, not quotes. Verify price, condition, history, fees, and availability with the dealer before you buy. Carlyle is provided “as is” without warranties of any kind.
3. Accounts & eligibility
You must be at least 18 years old and able to form a binding contract to use Carlyle. You need an account (email sign-in) to use the product. Keep your sign-in link private; you're responsible for activity on your account. One account per person. We may suspend accounts that abuse the service, attempt to scrape it, resell access, or use it unlawfully.
4. Pricing and billing
Current pricing is on the pricing page: a free daily chat; Plus ($10/month) and Unlimited ($50/month) subscriptions; a flat $250 negotiation service; and inventory alerts billed at $1 per new vehicle alerted, capped at $25 per month. Payments are processed by Stripe. Subscriptions renew monthly until cancelled; cancelling stops the next renewal and your plan stays active through the paid period. The detailed billing and refund policy on the billing & refunds page is part of these terms - note in particular that the $250 negotiation fee buys the negotiation work and is not contingent on outcome.
5. The negotiation service
When you purchase negotiation help, you authorize Carlyle to contact the relevant dealer on your behalf about the vehicle you selected. We will not commit you to a purchase, sign anything for you, or share your contact details beyond what the negotiation requires. Outcomes depend on the dealer and the market and are not guaranteed.
6. Acceptable use
Don't scrape or bulk-export listings, probe or overload the service, use it to harass dealers or individuals, or misrepresent who you are. The AI consultant is for your personal car purchase, not for commercial resale research at scale.
7. Liability
To the maximum extent the law allows, Carlyle's total liability for any claim related to the service is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect or consequential damages, or for the acts of dealers, sellers, or other third parties.
8. Governing law and venue
These terms, and any dispute arising out of or relating to them or your use of Carlyle, are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration agreement below, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in California, and you and Carlyle each consent to the personal jurisdiction of those courts.
9. Dispute resolution: arbitration and class-action waiver
Please read this section carefully. It affects how disputes are resolved and limits the ways you can seek relief.
Informal resolution first. Before starting an arbitration, you agree to email us at hello@carlyle.vin describing the dispute and to give us 30 days to try to resolve it informally.
Binding individual arbitration. If we cannot resolve it, you and Carlyle agree that any dispute, claim, or controversy arising out of or relating to these terms or the service will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court - except that either party may instead bring a qualifying individual claim in small-claims court.
Class-action waiver. You and Carlyle agree to bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.
30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these terms by emailing hello@carlyle.vin from your account email with a statement that you opt out of arbitration. Opting out does not affect any other part of these terms.
Exceptions and severability. Nothing here prevents either party from seeking injunctive or equitable relief in court for intellectual-property infringement or unauthorized access to the service. If the class-action waiver is held unenforceable, that portion will be severed and the remainder of this section will continue to apply.
10. Changes
We may update these terms as the product evolves; material changes will be flagged on this page with a new date. Continuing to use Carlyle after a change means you accept it.
